M/W/DSBE Certification Documents List

The first-year MW/DSBE Certification application must be completed, and all the required documents must be uploaded to initiate an evaluation of your application. Below is a complete list of all the documents. Acceptable formats are text documents (files ending in .doc, .docx, or .txt), spreadsheets (.xls or .xlsx), and PDFs. Please keep documents file sizes to 10 MB (10,000KB) or less.

Documents for All Owners

For each current owner, provide:

  • Name
  • Title
  • Percentage of Ownership
  • The dollar value of initial money and real estate contributions to the business
  • The number of years of experience
  • Proof of Citizenship Status
    • Acceptable proof includes a copy of a U.S. passport, U.S. birth certificate, alien registration card, naturalization/citizenship certificate, etc.
  • Individual federal tax return for the past 3 years
    • That includes Form 1040 and all schedules
  • Proof of owner(s) initial capital investment in the firm
    • Documentation might include bank statements, loan agreements, bill of sale, and proof of payments such as cleared checks, notarized statements of contributions to start a business, etc.

Resume for each owner, officer, management staff, and key employees

  • Resume must include employers, dates of employment, titles and responsibilities, and applicable education and training.

General Business Information

Business Plan or Capabilities Statement

The document should include an executive summary, company description, products and services, market analysis, and organization and management team.

Financial Information

  • Past or current loan agreements, promissory notes, lines of credit, etc., related to the applicant firm or between any owners. – If applicable
  • A full copy of the firm’s business tax returns for the past 3 years
  • Copy of bank authorization form
    • A document that lists the individuals authorized to access all applicant firm’s account(s); or a statement from the bank verifying authorized signers and restrictions on the account (You can ask your bank to put this information into a letter).
    • DO NOT SUBMIT A COPY OF THE BANK CARD OR CREDIT CARD.
  • Current profit and loss statement (within the past 60 days)
  • Current balance sheet (within the past 60 days)
  • Business bank statement for the past 3 months
  • Dollar values for the firm’s gross receipts (and affiliate firm is gross receipted, if applicable) for the last 3 years
  • Equipment list
    • That includes the current dollar values of equipment, quantity, and name.

Certificates and Documents

  • Copy of all current licenses, registrations, permits, or certificates required by the Commonwealth of PA and/or the City of Philadelphia
    • i.e., engineer, architect, CPA, CDL, plumbing, electrical, HVAC, etc.
  • Copy of City of Philadelphia Commercial Activity License
  • If applicable, provide the lease or mortgage for office property
  • OEO M/W/DSBE Registration Affidavit (Download Form)
  • Tax Clearance Certificate - (Click here for more information)
  • If applying for the DSBE Certification, provide the OEO Physician’s Certification Disability form, signed by a licensed physician (Download Form)
  • Non-refundable Application Fee
  • Additional Information is required based on your business structure (Sole proprietorship, partnership, LLC/LLP, or Corporation) - See below.

For Your Specific Business Structure

For a Sole Proprietorship, please submit:

  • Copy of Assumed Name Certificate (DBA) filed for each applicable county (Download Form)

For a Partnership (General or Limited) or Franchise, submit:

  • Copy of Assumed Name Certificate (DBA) filed for each applicable county (Download Form)
  • A complete copy of the partnership or franchise agreement
  • Certificate and articles of formation for limited partnerships
  • Copy of all membership certificates listing the name of the LLC member and detailing their ownership interest in the company

For a Limited Liability Company or Professional Limited Liability Company submit:

  • Certificate and articles of formation
  • Copy of agreement(s), regulation(s), and/or operating agreement(s), as applicable
  • Copy of all issued and voided membership or stock certificates (front and back), and certificate ledger
  • Copy of all membership certificates listing the name of the LLC member and detailing their ownership interest in the company

For a Corporation, submit:

  • Article of incorporation (Download Form)
  • Copy of corporate bylaws
  • Copy of current corporate meeting minutes and any minutes affecting ownership
  • For each member of the Board of Directors:
    • Names and dates of service of all current board members
    • Ethnicity, Gender, and Date Elected
    • Date of Termination/Expiration (If applicable)
  • Copy of all issued and voided stock certificates (front and back) and stock transfer ledger
  • If B Corporation:
    • Statement of the period during which the corporation shall continue existences, if not perpetual
    • Benefit corporation statement
    • Most recent annual benefit report
